Fawaz represents banks in real property secured, personal property secured and unsecured financing transactions of various types, including commercial business, Pari Passu, SBA, and construction loans. These transactions involve borrowers from diverse industries, ranging from strip shopping centers to hotels. In addition to reviewing the title commitment and advising the banks to protect their interests, he drafts all the loan-closing documents, including jobber subordinations, UCC-1 filings, SNDAs, and tenant estoppels. In addition, he has drafted security instruments for real property secured financial transactions in Texas, California, New Mexico, Connecticut, Florida, Louisiana, Arizona, Georgia, and Illinois.

Fawaz also represents clients in commercial real estate transactions, including negotiating leases terms, drafting contracts, reviewing title records, and verifying company documents. Fawaz has represented the purchaser and buyer in these commercial business transactions. Prior to beginning his legal career, Fawaz previously worked in the oil and gas industry. In this role, Fawaz was involved in examining real property records from inception to present, curing title defects, reviewing contracts, negotiating leases, and handling complex merger and acquisition deals. Fawaz received his law degree from Southern Methodist University.

• Represented a developer of a childcare facility in Farmers Branch, TX, involving reviewing various agreements, negotiation contracts, site development, and day-to-day legal matters.
• Represented buyers and sellers in commercial business transactions, involving financing, buying and selling of real property, reviewing title commitments, and negotiating contracts.
• Represented financial institutions by drafting commercial real estate loan documents for Small Business Administration (SBA), construction, conventional, and Pari Passu loans.
• Represented financial institutions by verifying borrower and guarantor entity documents, analyzing real property title, reviewing title commitments, and advising on various issues.
• Represented financial institutions in secured loans involving real property located in Texas, California, New Mexico, Connecticut, Florida, Louisiana, Arizona, Georgia, and Illinois.
• Represented financial institutions in personal property secured commercial business loans involving diverse industries, including hotels, motels, gas stations, and convenience stores.

Representative Investment Projects:

• Handled the Shuttered Venue Operators Grant (SVOG) program, providing U.S. live entertainment small businesses, nonprofits, and venues $7.5 billion in emergency funds.
• Handled the COVID-19 Economic Injury Disaster Loan (EIDL) program, providing U.S. small businesses, non-profits, and agricultural business $200 billion in emergency funds.
• Handled the acquisition of Comstock Resources, Inc. by Jerry Jones valued at $2.2 billion.
• Handled the merger of Occidental Petroleum Corporation with Anadarko Petroleum Corporation valued at $3.5 billion.
